Affiliate Program Terms and Conditions

1. Introduction to the Agreement

This is an Agreement between you and ScalpTrader Technologies LLC ("Company," "we," "us," or "our"). Please read these terms with care. This Agreement outlines the rules and regulations of the affiliate program for ScalpTrader Technologies LLC.

By accepting these Terms and Conditions, you agree that you have read and understood these terms and agree to be legally responsible for each and every term and condition herein. Your participation in our affiliate program constitutes acceptance of this Agreement.

2. Definitions

In this Agreement, the following definitions will apply:

"Affiliate" or "Affiliates" are the individuals or entities in the affiliate application that intend to participate in the Affiliate Program and who will legally be bound by the Terms and Conditions herein.

"Customers" are the individuals and legal entities that are the end users of ScalpTrader Technologies LLC trading software and services.

"Affiliate Program" means the program operated by ScalpTrader Technologies LLC, to which the Affiliates are enrolled and rewarded in the form of monetary compensation for referring customers.

"Affiliate Link" is the personal tracking link provided to affiliates participating in the affiliate program, used to track referrals and commissions. The link directs potential customers to https://scalptrader.com.

"Referral" stands for a potential customer who was directed to https://scalptrader.com through the use of an affiliate link and subsequently signs up for a trial or purchases our services.

"Commission" means the monetary compensation that an affiliate earns from each qualified referral that converts into a paying customer.

"Qualified Sale" means a referral that results in a paid subscription or purchase of ScalpTrader Technologies LLC services after any applicable trial period.

"Abandoned Affiliate Account" means any affiliate account where the Affiliate Dashboard has not been accessed for a period of 12 months, or has generated no affiliate referrals during a period of 6 months.

3. Participation Requirements and Partner Obligations

Eligibility Requirements

To be eligible to join the affiliate program, you must:

• Be at least 18 years old
• Have a functioning website, blog, social media presence, or other promotional platform
• Agree to these affiliate program terms and conditions
• Provide accurate and complete application information

Application Process

In your application, you must provide your full name, website address, promotional methods, and any additional information requested. After signing up for the program, we will review your application within 5-7 business days. We reserve the right and sole discretion to approve or reject your application, and to re-evaluate your eligibility at any point in time.

You are only allowed to create and use one affiliate account per individual or entity.

Affiliate Responsibilities

Upon approval, you will receive confirmation of your participation and direct access to your affiliate dashboard and personal referral link. As a participant in the program, you agree to:

• Operate as a marketing promoter of ScalpTrader Technologies LLC
• Introduce potential customers to our trading software and services through https://scalptrader.com
• Use only approved marketing materials provided through your affiliate dashboard
• Keep all company information in your promotions accurate and up to date
• Maintain professional standards in all promotional activities
• Comply with all applicable laws and regulations in your jurisdiction

Marketing Materials

You may use marketing materials provided by ScalpTrader Technologies LLC through your affiliate dashboard, including banners, product descriptions, and promotional content. You are responsible for ensuring that any information about our pricing, features, or services remains current and accurate.

4. Policies and Prohibited Activities

Legal Compliance

As a condition of your participation in the affiliate program, you agree to comply with all applicable laws, ordinances, rules, regulations, orders, licenses, permits, judgments, decisions, or other requirements of any governmental authority, including:

• Federal Trade Commission (FTC) guidelines requiring disclosure of affiliate relationships
• CAN-SPAM Act of 2003 and all anti-spam laws
• General Data Protection Regulation (GDPR) where applicable
• All applicable privacy and data protection laws

Prohibited Content and Activities

By participating in the program, you agree that your website and promotional channels do not contain or promote:

• Adult, violent, or defamatory content
• Gambling, including sports betting, poker, and online casinos
• Illegal activities or services
• Content that infringes on copyright, trademark, or other intellectual property rights
• Political or religious viewpoints that could negatively impact our brand
• Misleading or false information about our services
• Spam or unsolicited commercial email

Trademark and Brand Guidelines

• You may not use "ScalpTrader," "ScalpTrader Technologies," or any variations as part of your domain name
• Paid advertising (PPC) bidding on the following keywords and their misspellings is prohibited: "ScalpTrader," "ScalpTrader discount," "ScalpTrader coupon," "ScalpTrader Technologies"
• To use any ScalpTrader-related keywords in paid advertising, you must receive prior written approval from our affiliate management team
• You may not create social media accounts, websites, or other platforms that could be confused with official ScalpTrader channels

Coupon and Discount Policies

• We do not work with coupon or discount websites
• Discount codes are not provided to affiliates without express written permission
• Affiliates displaying unauthorized discount codes will be immediately removed from the program
• Any misleading tactics to set affiliate cookies on potential customers' devices is strictly forbidden

Self-Referral Policy

Self-referrals are prohibited. You may not refer yourself, immediate family members, business partners, or companies you own or work for. No commission will be paid on self-referrals, and such activity may result in account termination.

5. Commissions and Payments

Commission Structure

Commissions are paid to affiliates for qualified sales from customers who:

• Were directed to https://scalptrader.com through your affiliate link
• Completed their purchase within 60 days of clicking your affiliate link
• Successfully completed any trial period and became paying customers

Payment Terms

• Commission payments are processed monthly, no later than the 15th of each month
• Payments cover commissions earned during the previous calendar month
• Minimum payout threshold: $100 USD
• Primary payment method: PayPal (you must maintain an accurate PayPal email address in your dashboard)

Payment Delays

Commissions are paid after our standard refund period to ensure customers do not request refunds after affiliate payouts. Any refunded customers will result in commission chargebacks.

Tax Responsibility

You are solely responsible for all taxes, duties, and other governmental assessments or charges that may be due on commissions earned through the affiliate program.

6. Termination of Affiliate Account

Modifications to Terms

We may make amendments to these Affiliate Terms and Conditions by providing thirty (30) days' notice through your Affiliate dashboard. If you disagree with such amendments, you may terminate this Agreement within the notice period by informing us in writing.

Voluntary Termination

You may terminate your participation in the affiliate program at any time by providing written notice. Upon voluntary termination:

• Unpaid commissions above the minimum threshold of $100 USD will be paid out
• Commissions below $100 USD will be forfeited
• Your access to the affiliate dashboard and marketing materials will be revoked

Termination by Company

ScalpTrader Technologies LLC may terminate your affiliate Agreement or suspend access to the affiliate program with immediate effect and without prior notice in cases of:

• Fraud, abuse, or violation of these terms
• Engaging in prohibited activities as outlined in Section 4
• Providing false or misleading information in your application or promotional activities
• Failure to comply with applicable laws and regulations
• Breach of any provision of this Agreement

Post-Termination

Upon termination for any reason:

• You must immediately cease all promotional activities
• Remove all ScalpTrader marketing materials from your platforms
• Outstanding commissions may be forfeited if termination is due to policy violations

7. Limitation of Liability

Disclaimers

ScalpTrader Technologies LLC provides no warranty or representation regarding the Affiliate Program, its availability, or the accuracy and completeness of the tracking and reporting systems. The Affiliate Program is provided on an "as is" and "as available" basis.

We make no guarantees about the earning potential of affiliates or the performance of our tracking systems, though we strive to maintain accurate reporting.

Limitation of Damages

In no event shall ScalpTrader Technologies LLC be liable for any indirect, consequential, special, incidental, or punitive damages arising out of or in connection with the Program, including but not limited to:

• Lost profits or loss of business opportunities
• Interruption of business or program availability
• Loss of data or information
• Technical failures or system downtime

Our total liability to you for any claims relating to the affiliate program shall not exceed the total commissions paid to you in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify and hold harmless ScalpTrader Technologies LLC from any claims, damages, losses, or expenses arising from your participation in the affiliate program, including your promotional activities and any violation of these terms.

8. General Provisions

Independent Contractor

Your participation in this affiliate program does not create an employment relationship, partnership, joint venture, or agency relationship between you and ScalpTrader Technologies LLC. You are an independent contractor.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Insert State/Jurisdiction], without regard to conflict of law principles.

Severability

If any provision of this Agreement is found to be unenforceable or invalid, such provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect.

Entire Agreement

This Agreement constitutes the entire agreement between you and ScalpTrader Technologies LLC regarding the affiliate program and supersedes all prior agreements and understandings.
